Meet John M. Ramey III, General Counsel, Allegiancy

General counsel brings added value to clients, company

“Even before I joined the company, I was impressed with Allegiancy’s innovative approach and entrepreneurial spirt,” J.M. Ramey said. “Today, I enjoy contributing to the exciting work we’re doing for clients and to growing our company.”

Allegiancy is a commercial real estate asset manager focused on growth in secondary markets. The company has made a name for itself by resurrecting troubled properties without a massive capital infusion from their owners.

At Allegiancy, Ramey oversees all legal matters affecting the company, including capital fundraising, as well as lease, finance, and sale transactions for Allegiancy’s clients.

Ramey brings considerable experience in securities offerings; venture capital and “angel” financing; buy-sell agreements; and commercial real estate — leasing, acquisitions, and financing. Since 2005, Ramey has assisted other companies in raising more than $1 billion of equity through private placements of securities.

Ramey commented: “From our clients’ perspective, having the majority of the legal services needed in-house is cost-effective and helps improve their bottom line. Similarly from Allegiancy’s perspective, having our legal work performed in-house is efficient and enables us to respond faster to new opportunities.”

Previously, Ramey was a principal at Goodman Allen & Filetti, a full-service law firm; a founder of Ramey-Michael Business Law Group, a boutique business law firm; and a partner at Hirschler Fleischer law firm.

Ramey has been listed in “Virginia Super Lawyers” magazine for business corporate law, and among Virginia’s Legal Elite in “Virginia Business” magazine. He has held leadership positions in the Virginia Bar Association and the American Bar Association.

Ramey holds a law degree from the University of Richmond and a bachelor’s degree from the University of Virginia.

He has two children, Caroline and Jack. He enjoys running and almost anything that lets him be outdoors. He is a fan of soccer at all levels, and says he will read just about anything put in front of him.

“I am very excited about and committed to helping Allegiancy grow,” Ramey said. “We offer a unique product that serves a previously unserved market, and the potential for our clients, our investors, and our company is enormous. I look forward to the challenges of leaving the status quo behind and accomplishing something big.”
